1. Acceptance of Terms

1.1 Overview

These Terms of Service for Organizers ("TOS") outline your responsibilities as an event organizer or planner ("Organizer" or "you") when using (a) the Circle21 website and its associated subdomains (referred to collectively as the "Site"), (b) any services provided by Circle21, whether through the Site or otherwise, and (c) any software made available by Circle21 (collectively, the "Services"). The Services are managed by Circle21. Accessing and using the Services requires your agreement to these TOS and all related policies and rules posted by Circle21 on the Site. By accessing any part of the Services or agreeing to these TOS, you confirm that you understand and accept all the terms and conditions. If you do not agree with any part of these terms, you must not use the Services.

1.2 Modification

These TOS can be amended on an individual basis with a written agreement signed by you and an authorized representative of Circle21. Circle21 also reserves the right to change these TOS at any time. It is your responsibility to review these terms regularly for any updates. If you continue to use the Services after any changes are posted, you accept the updated terms. If you do not accept the changes, you must stop using the Services.

2. Description of Circle21

Circle21 offers a straightforward platform where registered Organizers can manage and collect payments for events listed on the Site ("Event Registration Fees"). As an Organizer, you can create event pages, set prices, and manage event details while collecting payments from participants ("Participants") online. These TOS apply specifically to your use of the Services as an Organizer. To review the terms applicable to Participants or other users, please refer to the corresponding terms on our website.

3. Your Use of the Services

3.1 The Services

Provided that you pay all required Service Fees and comply with these TOS, Circle21 grants you a limited, non-exclusive, non-transferable right to use the Services during the term of these TOS. This right is specifically for creating, promoting, managing, tracking, and collecting Event Registration Fees for an event that you list on the Site.

3.2 Your Obligations

You agree not to:

• (i) duplicate, alter, or create derivative works from the Services;
• (ii) attempt to uncover or access the source code of the Services;
• (iii) rent, lease, or sell the Services;
• (iv) remove any proprietary notices;
• (v) disrupt the operation of the Services; or
• (vi) use the Services in a manner that infringes on intellectual property rights or violates the law. You understand that Circle21 owns all rights to the Services and their content.

3.3 Software

If you are given permission to download or use any software as part of the Services, its use will be governed by the terms provided with the software. If no specific terms are provided, Circle21 grants you a limited, personal, non-transferable, non-sublicensable, revocable license to use the software for your own internal purposes in connection with the Services.

4. Payment Methods

4.1 Overview

To use the Services, you must pay all applicable Service Fees, which may be based on the Event Registration Fees, the number of tickets sold, or other factors. Service Fees cover processing charges, payment provider fees, and other fees payable to Circle21. You will be informed of these fees when you create an event or they will be posted on the Site.

4.2 Payment Processing

All payments on the Site are processed by third-party providers such as Stripe. Transactions, including Event Registration Fees, are processed in the chosen currency, and are subject to Service Fees as applicable.

4.3 Non-Exclusive Remedies

Circle21 may deduct Service Fees from the Event Registration Fees you collect or invoice you directly for the fees. If you do not pay on time, Circle21 may charge interest, suspend your account, or cancel your events.

5. Your Registration Obligations

To become a registered Organizer on the Site, you must provide accurate, current, and complete information as required. If Circle21 suspects that the information you provided is false or incomplete, it may suspend or terminate your account.

6. Account, Password, and Security

You are responsible for keeping your account credentials confidential and for all activities that occur under your account. Notify Circle21 immediately of any unauthorized access or security breaches.

7. Content

7.1 Site Content

All content on the Site is owned by Circle21 or its licensors and is protected by intellectual property laws. You agree not to use this content except as permitted by Circle21.

7.2 Organizer Content

By providing content to the Services, you grant Circle21 a non-exclusive, worldwide, perpetual, royalty-free license to use, modify, and distribute your content. You affirm that you have the rights to grant this license and that your content complies with applicable laws.

8. Conduct

8.1 Certain Restrictions

You are responsible for all content you provide through the Services and agree not to engage in any harmful or unlawful activities, such as uploading viruses, infringing intellectual property rights, or impersonating others.

8.2 Certain Remedial Rights

Circle21 reserves the right to monitor and remove content it deems inappropriate or to terminate your access to the Services.

9. Sub-Domains

Circle21 may provide you with a sub-domain within the Site, which remains Circle21’s property and may be revoked at any time.

10. Special Admonitions for International Use; Export Compliance

You agree to comply with all local laws regarding online conduct and export controls related to your use of the Services.

11. Additional Services

Circle21 may offer additional services for a fee, which will be subject to these TOS and any additional agreements.

12. Indemnity and Insurance Requirements

12.1 Indemnification

You agree to indemnify and hold Circle21 and its affiliates harmless from any claims arising from your use of the Services or breach of these TOS.

12.2 Insurance

You are required to maintain appropriate insurance coverage during and after your use of the Services, naming Circle21 as an additional insured.

13. Service Modifications/Suspensions

Circle21 reserves the right to modify or discontinue the Services at any time without liability, except for refunds of Service Fees related to refunds issued to Participants.

14. Termination

Circle21 may terminate these TOS and your access to the Services at any time for any reason, including failure to pay fees or breach of these TOS.

15. Links

Circle21 is not responsible for third-party websites or services linked to or from the Site.

16. Disclaimer of Warranties

The Services are provided "as is" without any warranties of any kind. Circle21 disclaims all warranties, including those of merchantability and fitness for a particular purpose.

17. Limitation of Liability

Circle21 is not liable for any indirect, incidental, or consequential damages arising from your use of the Services. Circle21's total liability under these TOS is limited to $100.

18. Privacy

Your use of the Services is subject to Circle21's Privacy Policy, which governs the collection and use of your personal information.

19. Notice

Notices to you may be sent via email or regular mail. Notices to Circle21 should be sent to contact@circle21.app

20. Trademark Information

All trademarks used in connection with the Services are the property of Circle21 or third parties. Use of these trademarks is prohibited without prior written consent.

21. General

21.1 Entire Agreement

These TOS constitute the entire agreement between you and Circle21 regarding the Services, superseding all prior agreements.

21.2 Choice of Law

These TOS are governed by the laws of the state of United Kingdom, excluding conflict of law provisions.

21.3 Arbitration; Equitable Relief

Any disputes will be resolved through arbitration in London, United Kingdom. You agree to waive class action rights.

21.4 Waiver; Severability

Failure to enforce any provision of these TOS does not constitute a waiver. If any provision is found invalid, the remaining terms will remain in effect.

21.5 Time to File Claim

Any claims must be filed within two years of the cause of action.

21.6 Titles

Section titles are for convenience only and have no legal effect.

21.8 Affiliations

Circle21 is not affiliated with any third-party organizations unless explicitly stated.

21.9 No Assignment

You may not assign your rights under these TOS without Circle21's written consent.
